  2.                   EMPLOYMENT AGREEMENT
  3.  
  4. This Agreement is made this date between {EMPLOYER_NAME} of 
  5. {EMPLOYER_ADDR}, herein called "Employer", and {EMPLOYEE_NAME} 
  6. of {EMPLOYEE_ADDR}, herein called "Employee".
  7.  
  8. For good and valuable considerations, Employer employs Employee 
  9. to work for Employer as {POSITION}, subject to the following 
  10. terms and conditions:

  12. 1.  The employment of Employee shall commence on {START_DATE}.

  14. 2.   Employee shall perform the following duties and have the 
  15. following responsibilities:

  19. Employee shall perform such further and other duties as required 
  20. by Employer.
  21.  
  22. 3.  The Employee shall work {WORK_DAYS} from {WORK_HOURS} and 
  23. such additional hours as are required by Employer for Employee to 
  24. competently perform the duties of {EMPLOYEE_HIS/HER} employment.  
  25. Employee shall use {EMPLOYEE_HIS/HER} best efforts on behalf of 
  26. Employer.

  28. 4.  Employee shall comply with all standards, policies, rules, 
  29. regulations established by Employer for {EMPLOYEE_HIS/HER} 
  30. employment and comply with all manuals published by Employer in 
  31. connection with this employment and provided to Employee by 
  32. Employer.
  33.  
  34. 5.  Employee's employment under this Agreement shall continue 
  35. indefinitely from {START_DATE} until termination by Employer.
  36.  
  37. 6.  Employer shall pay to the Employee as compensation for 
  38. {EMPLOYEE_HIS/HER} services hereunder, and Employee shall accept 
  39. the sum of {ANNUAL_SALARY} per year payable in an amount of 
  40. {PERIOD_PAY} for each {PAY_PERIOD}.  Employee shall be entitled to 
  41. the following fringe benefits:

  45. 7.  In addition to termination as aforesaid, this contract of 
  46. employment may terminate upon the occurrence of any of the 
  47. following events:
  48.  
  49.  (a) the death of the Employee;
  50.  (b) the failure of the Employee to perform his, or her, duties
  51.      after notice or warning thereof;
  52.  (c) for just cause based upon non-performance of duties by
  53.      Employee;
  54.  (d) economic reasons of the Employer which may arise during
  55.      the term of this Agreement and which may be beyond the
  56.      control of the Employer.

  58. 9.  This Agreement may not be assigned by either party without 
  59. the mutual consent and approval of any such assignment by the 
  60. other party.
  61.  
  62. 10.  This agreement supersedes all prior agreements and 
  63. understandings between the parties and may not be modified, 
  64. changed, or altered by any promise or statement by either of the 
  65. parties.  No modification of the agreement shall be binding on 
  66. either of the parties unless agreed to in writing.

  384. assigns, all right, title and interest to said inventions, 
  385. concepts or innovations.

  389. and to execute, acknowledge, and deliver any other documents 
  390. required to obtain letters patent, trademark or copyright in any

  392. and expense, to assist in the defense and prosecution of said
